Artificial Intelligence Use Clause 1. Definition of Artificial Intelligence (AI): For the purposes of this Agreement, "Artificial Intelligence" or "AI" refers to computer systems or software that are capable of performing tasks that normally require human intelligence. These tasks include, but are not limited to, learning, reasoning, problem-solving, perception, language understanding, and interaction. 2. Permitted Uses of AI: The Parties agree that AI technologies may be utilized in the performance of services under this Agreement. The permitted uses include: a. Data analysis and pattern recognition to improve service delivery. b. Automated decision-making processes where applicable and agreed upon by both Parties. c. Enhancing customer interactions through AI-powered chatbots or virtual assistants. d. Optimizing operational efficiencies through AI-driven insights and recommendations. 3. Compliance and Ethics: a. The use of AI must comply with all applicable laws, regulations, and industry standards. b. AI systems must be designed and deployed in a manner that ensures fairness, accountability, and transparency. c. The Parties agree to avoid any use of AI that may result in discrimination, bias, or infringement of individual privacy rights. 4. Data Privacy and Security: a. Any data processed or analyzed using AI under this Agreement must be handled in accordance with applicable data protection laws and regulations, including GDPR, CCPA, or any other relevant legislation. b. The Parties shall implement robust security measures to protect against unauthorized access, use, or disclosure of data processed by AI systems. 5. Intellectual Property: a. Any AI models, algorithms, or related intellectual property developed during the course of this Agreement shall be the property of Walter Moss, unless otherwise specified in this Agreement. b. Each Party retains ownership of its pre-existing intellectual property and proprietary information. 6. Liability and Indemnification: a. The Parties agree that liability for any damages arising from the use of AI technologies shall be determined in accordance with the terms of this Agreement. b. Each Party agrees to indemnify, defend, and hold harmless the other Party from any claims, damages, or losses arising from the misuse or unethical deployment of AI technologies. 7. Transparency and Human Oversight: a. Decisions made by AI systems that have significant impact on individuals or the business shall be subject to human oversight and review. b. The Parties agree to disclose the use of AI in any processes or services where such disclosure is required by law or deemed necessary for transparency. 8. Termination: a. Either Party may terminate the use of AI technologies under this Agreement if it is found to be in violation of any applicable laws, regulations, or ethical standards. b. Upon termination, all AI-related data and intellectual property shall be returned or destroyed in accordance with the terms specified in this Agreement. 9. Amendments: a. This AI Use Clause may be amended or modified only by written agreement signed by both Parties. 10. Governing Law: a. This Clause and the rights and obligations of the Parties hereunder shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.
